Welcome to The Brands Collectives. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.

If you do not agree with any part of these Terms, you must not use our services.

1. Definitions

"Agency," "We," "Us," or "Our" refers to The Brands Collectives.

"Client," "You," or "Your" refers to the individual or entity using our services.

"Services" refers to all branding, marketing, design, and consulting services provided by The Brands Collectives.

"Agreement" refers to the contract between the Agency and the Client for specific services.

2. Services

The Brands Collectives provides professional branding, marketing, design, and related services as outlined in individual service agreements or proposals. The scope, deliverables, and timeline for each project will be detailed in a separate agreement or statement of work.

We reserve the right to refuse service to anyone for any reason at any time.

3. Payment Terms

3.1 Fees and Invoicing

All fees for services will be outlined in the service agreement. Invoices will be sent according to the payment schedule specified in the agreement.

3.2 Payment Methods

We accept payment via bank transfer, credit card, or other methods as agreed upon. Payment details will be provided on invoices.

3.3 Late Payments

Late payments may incur a fee of 1.5% per month (or the maximum allowed by law) on the outstanding balance. We reserve the right to suspend services until payment is received.

3.4 Refunds

All payments are non-refundable unless otherwise stated in the service agreement. In the event of project cancellation, clients will be billed for work completed up to the cancellation date.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for the completion of services.
  • Respond to requests for feedback and approvals in a timely manner.
  • Ensure that all materials provided (text, images, logos) do not infringe on third-party rights.
  • Make payments according to the agreed schedule.
  • Communicate clearly and professionally with our team.

5. Intellectual Property Rights

5.1 Ownership of Deliverables

Upon full payment, the Client will own the final deliverables created specifically for them. The Brands Collectives retains ownership of all preliminary work, drafts, and unused concepts.

5.2 Portfolio Rights

The Brands Collectives reserves the right to display completed work in our portfolio, marketing materials, and case studies unless otherwise agreed in writing.

5.3 Third-Party Materials

Any third-party materials (stock images, fonts, etc.) used in projects remain the property of their respective owners and may require separate licensing.

5.4 Client Materials

Clients retain ownership of all materials provided to us. By providing materials, you grant us a license to use them for the purpose of completing the agreed services.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation continues after the termination of services.

Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed.

7. Project Timelines

Project timelines are estimates and may be subject to change based on client feedback, scope changes, or unforeseen circumstances. Delays caused by the client (late feedback, delayed approvals, etc.) may extend the project timeline accordingly.

We will make reasonable efforts to meet agreed deadlines but cannot guarantee specific completion dates unless explicitly stated in the service agreement.

8. Revisions and Changes

The number of revision rounds will be specified in the service agreement. Additional revisions beyond the agreed scope may incur additional fees.

Significant changes to project scope after work has begun may require a revised proposal and additional costs.

9. Termination

9.1 Termination by Client

Clients may terminate services at any time with written notice. The client will be responsible for payment of all work completed up to the termination date, plus any non-refundable expenses incurred.

9.2 Termination by Agency

We reserve the right to terminate services if the client breaches these Terms, fails to make payments, or engages in abusive or unprofessional behavior.

10. Limitation of Liability

To the fullest extent permitted by law, The Brands Collectives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for those services.

We are not responsible for any loss of profits, data, business opportunities, or other intangible losses resulting from our services.

11. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However, we make no warranties regarding specific results or outcomes.

Our services are provided "as is" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

12. Indemnification

The client agrees to indemnify and hold harmless The Brands Collectives from any claims, damages, or expenses arising from the client's use of our deliverables, breach of these Terms, or violation of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Brands Collectives operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in our operating jurisdiction.

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, or technical failures.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

For ongoing projects, changes to Terms will apply to new agreements entered after the modification date.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between the parties and supersede all prior understandings and agreements, whether written or oral.
